Simplifying the Process of Private Limited Company Registration in India
Registering a Private Limited Company (PLC) in India involves several steps but can be simplified by following a systematic approach. Here’s a streamlined guide to the process:
Preparation and Planning:
Name Availability: Check the availability of your company name through the MCA portal. Choose a unique name that complies with naming guidelines.
Director Identification Number (DIN): Ensure all proposed directors obtain DIN from the MCA, if not already obtained.
Digital Signature Certificate (DSC): At least one director must have a DSC for digitally signing documents.
Drafting Documents:
Prepare Memorandum of Association (MoA) and Articles of Association (AoA). These documents define the company’s objectives, rules, and internal regulations.
Application for Name Approval:
File Form INC-1 for name availability. Provide up to 6 preferred names in order of preference.
Pay the required fee for name reservation.
Incorporation Application:
Prepare and file Form SPICe (Simplified Proforma for Incorporating Company electronically) with the RoC.
Include MoA, AoA, declaration by directors, and other required documents.
Pay the incorporation fee based on the authorized capital of the company.
